CALL FOR EXPRESSION OF INTEREST- TRAINING ON CORPORATE GOVERNANCE FOR THE BOARD OF COMMISSIONERS OF THE COMESA COMPETITION COMMISSION

  1. INTRODUCTION

The COMESA Competition Commission ("the Commission") is a regional corporate body established under Article 6 of the COMESA Competition Regulations (“the Regulations”) promulgated under Article 55 of the COMESA Treaty. The Commission is responsible for promoting competition and enhancing the welfare of consumers in the Common Market. The main functions of the Commission are to monitor markets and investigate anti-competitive business practices, control mergers and other forms of acquisitions in the Common Market and mediate disputes between the Member States concerning anti-competitive conduct. The Commission commenced its operations on 14th January, 2013 and is located in Lilongwe, Malawi.

The Board of Commissioners is the supreme policy body of the Commission mandated with issuing determinations, performing adjudicative functions, hearing appeals and recommending Rules for the approval of Council. The Board of Commissioners are composed out of 13 COMESA Member States who are chosen for their ability and experience in competition law and policy, industry, commerce, public administration, law, consumer protection and small scale business matters as provided under Article 13 of the Regulations.

The Commission is looking for Consultants able to provide training services to the Commission’s Corporate Governance Workshop which is targeted to its newly appointed Board of Commissioners.

  1. OBJECTIVE OF THE SERVICE

The objective of the training is to enable Board of Commissioners :

  • Gain a good understanding of the corporate governance aspects within the Commission
  • Gain a new perspective of the impact of corporate governance practices on ensuring the efficient management of the Commission.
  1. SCOPE OF WORK

 The Consultants are expected to  provide a training on the following topics :

  • Essesntial Principles of Corporate Governance ;
  • The Concept of ‘autonomy’ in relation to the establishment of the Commission ;
  • The Relationship between the Board and the Commission and the COMESA Secreteriat; and
  • Importance of Compliance of the Board to the Relevant Statutory Requirements of the Commission : the COMESA Treaty, COMESA Competition Regulations and other relevant statutory instruments

The Consultants shall also be expected to provide the training services :

  • In Relation to the Board of Commissioners role, responsibilities and duty specified under the Regulations, Rules, Board Charter, best practices of international civil servants and other relevant legal instruments;
  • To ensure seamless integration of learning objectives to address the actual real scenarios of the Board of Commissioners experience in the course of their duty.
  1. QUALIFICATION AND RELEVANT EXPERTISE

In order to be eligible for participation in this tender process, prospective Consultants or Consultancy firms must demonstrate a proven track record of developing work of this nature at national or regional level. Applicants must also demonstrate knowledge on Corporate governance issues and its development. Specifically, Consultants must demonstrate the following:

  1. Hold at least a Masters Degree in the relevant field from a recognized University;
  2. Have at least Five (5) years’ experience of corporate governance related studies;.
  3. Clearly demonstrate proof of similar work done at national or regional level; and
  4. Clearly demonstrate their capacity to meet the specified deadlines.

 

  1. SELECTION

The service will be awarded to the successful firm based on the most economically advantageous tender on factors such as quality of the proposed service and the indicative costs.

  1. APPLICATION

Responses to this call for expression of interest should include the following:

  • A proposal for the consultancy service;
  • A brief cover letter indicating relevant experience and any information about availability
  • Curriculum Vitae or profile of the Consultant(s) or Consultancy firm;
  • Costs (in USD): The service providers should identify their rates which should be valid for the entire length of the assignment.

 

7. Time Period

The service will have two phases:

  • First phase the Consultant shall asses the relevant corporate governance issues arising out of the duty of the Board of Commissioners;
  • Second Phase, based on the assessment conducted, the Consultant shall provide training Workshop on corporate governance which shall be held on 30 August 2018 in Lilongwe, Malawi
